A Sad but True Story About Lawyers

In 2007 we decided to sell our share in a charter business including the asset of an 18 meter Gullet. The business was a Turkish company with a Turkish shareholder and MD

We advertised on Ebay and found a UK purchaser who came to inspect the boat. He spent 3 hours with the company accountant with an official translator

He was happy and we agreed a price. We employed a very well known Bodrum lawyer to handle the sale.

A fee of 4000 tl was agreed and a sales contract drawn up We emphasized that the sale and contract must be 100% watertight and absolved us of any comebacks later.

We met with the purchaser in the lawyers office and the contract was gone over. The purchaser signed the contract and the money was transferred. We asked the lawyer about notarization and he aid no need as the contract had been witnessed and would stand up in a Turkish Court

12 months later the purchaser decided he wanted his money back and pursued his case through the Turkish Courts

And who was his lawyer Yes the very same lawyer we had employed and paid to oversee the original sale

We had to employ a new lawyer to defend the case at cost of 4000 TL the second lawyer was very good and attended every court hearing

4 years later after the court appointing company and tax experts the case was concluded

The purchaser was suing us for 60000 TL

He was awarded 58tl Yes thats not a spelling mistake he was awarded fifty eight turkish lira

We did ask our new lawyer about a conflict of interest and he very wisely said Do you want satisfaction or do you want to win?

Beware some Turkish Lawyers will take on a case they know they cannot win just for the fee . Just try getting a lawyer on a no win no fee basis

Sorry if I've missed something. You sold your share in the Gullet, the money was handed over to you, then 12 months after the deal your purchaser wants his money back ? If he no longer wants his share in HIS Gullet, then he must then find a buyer himself, as you did ? Why were you involved with Courts/Lawyers etc ?

The purchaser said he did not understand the contract when taking over the company share He said the company did not perform as expected after the purchased it He said he expected us to pay company taxes incurred after the sale

He was provided with audited accounts for the two years prior to the sale All taxes were paid KDV and a all SGK

We got involve with the courts because he sued us and we had to defend the case

Yet again. An unbelievable situation allowed to be brought about by the convoluted Turkish system.

What a ridiculous situation to find yourself in. You sold the business, the new owner couldn't make megabucks and so asked the courts to give him his money back - from you.

The mind boggles! What will we hear of next in Turkish courts?

So it cost you an extra 4000TL to keep what was rightly yours? Nightmare. Thank goodness the Judge found in your favor Anne123, but you should never have had to go to court to defend what you no longer owned.

Why would you include a contract that was watertight and no comebacks, although İ can see the sense in this it also makes me think that something wasn't right and that you expected some kind of comeback.

Also any solicitor that can ensure those terms needs to be given a wide birth.

You should always be held responsible for that which you sold if there was any misrepresentation by the seller.
