no-nem latest
Phil from no-nem has, today, arrived in Fethiye, as promised, to address the first of the 3 problem properties, as previously agreed many times before !!
He has promised to come on the 5th May to address problem no. 2 and finally again on the 12th to address the last problem with the properties.
He still will not answer direct questions face to face ref monies owed/promised to us and the fact that our company was elected as the Fethiye ``main dealer`` for his products when we first met back in 2006 but he now claims to have another installer for the Fethiye area - his attitude is very off the cuff & very much well I`m here now what more do you want ?!!
He has told me, today, there is a company directors meeting tommorow after which he will tell me what he intends to do about the money owed and what is happening about the Fethiye area - I will keep you informed of further developments !!
We would like to thank this forum and all who are involved for their help as I doubt Phil would be here now if it was not for the power of this Forum .

A directors' meeting tomorrow? Now I wonder where this is going to be held as two Directors other than Phil are in Kusadasi and the other one is in Fethiye?? Also, he hasn't advised the Fethiye Director of this.

Re: no-nem latest
Is this a Directors meeting or a shareholders meeting... I am a Director of a UK company, but not a shareholder, so they can be independent of one another. My role is to run the company to the satisfaction of the shareholders. The shareholders have the power to dismiss me. I as a Director, along with my fellow directors, am legally bound to ensure that the company operates within the law, satisfies its creditors etc. Resigning as a Director does not protect me from decisions I made or agreed to when running the company. Certain decisions/plans need to be agreed by the shareholders before they can be implemented. There will be rules as to what % is needed before a decision/plan by the board can be implemented. I understand that this is a Turkish company, therefore rules need to be clarified.
If it is a shareholders meeting then surely should be notice to ensure that all shareholders have a reasonable opportunity to be present. The rules of this would be written in the memorandum and articles. Are all the shareholders in Turkey or are some in the UK.
It really is a can of worms, and all those involved, directors and/or shareholders need to think carefully and gather as much information/facts as they can. Notes of meetings, even informal ones may help.

Re: no-nem latest
Its worth reading "Shocking news" post 64 from Gerrie who seem to be the original Didim franchisees before Phil and Sue Johns were offered it.
I cannot see how a company can offer a franchise to people to the extent that they spent out on advertising and get interest only to find that the franchise for the same area has been offered to someone else.
Phil and Sue seem really nice people and for a company to apparently behave in this manner , just suggests sheer bad manners and a disregard for the franchisees.
I know I am not involved but I run a business and couldnt contemplate shoddy treatment like that.
I will probably get told to mind my own business but had to say something!!!
Well done Gerrie

Good point, we were told the Fethiye area would be exclusivly ours but Phil has since told us there is a new company in Fethiye but will not tell us who. Thankfully we did not part with any money, it was a ``gentlemans agreement`` confirmed in writing by Phil so no great loss for us.
