Closing a Turkish Limited Company

Hi, has anyone recently closed down a limited company in Turkey? Just wanting some advice about the costs involved as our accountant has just sent us another bill that we certainly weren't expecting! He told us last year after paying a significant amount to him to close our company that apart from monthly fees for a year there would be nothing else to pay, now we've had another bill for a lot of money, just wanting to check with someone if these fees are correct!

Hi Sara,
Last month we completed the initial stages of closing our company, i.e. it is now in liquidation and will take about one year to be finally closed, during which the required notices are published in the Chamber of Commerce gazette.

Costs so far are:-
Ticaret odasi 1,146 TL
Ticaret odasi 730 TL
Notary 300 TL
Notary 140 TL
Translator 300 TL
Total 2,616 TL

Estimated still to pay:-
Accountant for 1 year 1,500 TL
Accountant final payment 250 TL
Ticaret odasi fees 1 year 440 TL
Taxes until April 2017 ??? TL

How doe this compare with your costs?

Hi, thanks for that.

We paid 2500tl last year to start closing the company, on average 270tl a month since last July (14) except from December when it was 700tl more for the annual books. Now he has just asked for another 2000tl to finish off closing the company. We spoke to him when we were there in April this year and again in July and neither time did he mention this additional cost, made up of Ticaret fees, taxes, notary fees, e-signatures etc. Total cost for the year of closure has reached close to 6000tl, nearly twice what he originally told us, just makes me mad that he has not informed us of anything, just sends us bills and expects us to pay without question!

Thankyou for your help though, at least I have some info to try and match with what receipts we already have.

If you are owner of a Turkish company (whether for property, trading, or commercial) you are liable for social security payments which have to be paid up to date for all owners before you can close.

Sorry, another query! Do you actually get anything to say in writing that the company has closed? How do I make sure that there are no debts on the company (I know we should have none, but........)

I just want to make sure every little thing has been covered as he is not getting his last chunk of money until I do!

That's a good question! I don't know if you get anything automatically to confirm closure, but if not, I imaging the Ticaret Odasi could confirm the status at any time.

With regard to possible debts on the company, this should be the responsibility of the appointed liquidator/accountant. If they do not find any, and the advertisements in the Chamber of Commerce gazette don't result in anyone making themselves known during the 12 months of liquidation, you should be clear I think.

We completed this procedure last year.

When the company is officially closed, i.e. there can be no debts remaining, a notice announcing the closure of the company will be published in the official gazette (Resmi Gazete). When your accountant shows you this (best to get someone who knows Turkish to translate it for you so you can be sure what it says) you can safely settle your bill.

P.S. Just read more carefully the post above and to avoid confusion the advertisement being referred to there is the one announcing the intent of the company to close. The one I am referring to is after the required period has expired.

Thanks, so far no gazette, I take it that , like when opening the company it should show the closure in the paper. We do have the Son Karar paperwork having been dated and stamped by both the Ticaret and the Notary stating that the final decision is the closure of company, the dates from last month are in line with when the year was up, well 2 weeks over that, would this be final?

I will have to ask him if he has the copy of the gazette as we are in the UK at the minute.
