Red face Egm

Could anyone help with my question. Our sitesi has called an EGM, asked for by the owners board of three people. Am I correct in my understanding that an EGM can only be called by either the management company or 1/3rd of property owners under Turkish Law

Hi Nick. Here is an extract from English translation of Section 29 of the Turkish Condo Law.

"When there is an important motive, the meeting of condominium owners may be called at any time, by the manager or the controller or one third of the condominium owners, by a notice sent by registered mail or signed by all condominium owners, at least fifteen days prior to the date specified for the meeting, by indicating the reasons thereof."

Thanks Sybil, would you know who would fall under the controller title. I think there may be some skullduggary going on and I want to make sure everything is done legally, and by the board of owners calling the meeting I don't think that they can unless they fall under the title of the controller.

I have always presumed that Controller is an alternative name for a manager but without the title . It is like manager a singular noun so cannot refer to a group . However have you checked in your Management Plan to see what that says.

Nick -In contrast to Chinook I have always understood "controller" to be the inspector rather than the manager. The idea is to have an inspector/inspection committee whose role is to ensure that the performance of the site manager/ management is meeting owner expectations ie the job is being done as it is expected to be done under Turkish Law).

Thanks Sybil for correcting my hurried and badly worded response . The controller or Controller committee is as you say effectively an auditor.

The question here is what is the position of the committee of three. Do you have a Manager if so they may be Controllers and as such not empowered to call an EGM However if you haven't and this committee of three is the Board of Managers alternative recognised by the CL then I believe it is implied that they will carry out the defined duties of the Manager including the ability to call an EGM.

For a complete picture you need to look at what the Management Plan says

Hi Nick

Unfortunately I have had to learn a lot about Condominium Law, the answer to your question is, your Board of 3 people are the managers of the site (1 or 3 people by law), the controllers are your Board of Auditors (1 or 3 people by law) either can call an EGM along with one third of homeowners.

Whoever calls the EGM sets the agenda, the agenda can not be changed or added to when it's an EGM but can at an AGM.

I can send you with a copy of Condominium Law in English.
